Thanks for choosing SingularityApp (“Service”). By using our Service, you are agreeing to these Terms and certify that you are 14 years of age or older. If you are using the Service on behalf of an organization or entity (“Organization”), then you are agreeing to these Terms on behalf of the Organization. In that case, “you” and “your” may refer to the Organization.

The Site — singularity-app.com — is located on the Internet at singularity-app.com and owned by the Service Administration. It contains a description of the features of the Service, the pricing of Pro-version of our Service, the service for Pro-version purchasing as well as the commercial terms to our transactions with you.

The present Terms and the information about the Service presented on the Site is a public offer. Please read these terms carefully.

Using our Service

You must follow any policies made available to you within the Service. You may only use our Service as permitted by law. Service Administration may investigate and/or suspend or terminate our Service to you at any time if we find your use of our Service violates the Terms and/or any policies.

Using our Service does not grant you ownership of any intellectual property rights in our Service or the content you may have access to. The Service, including the software used to implement the Service, as well as the software provided to you as a part of the Service (the «Software»), are protected by copyright, trademark, applicable intellectual property and other laws. These Terms do not grant you the right to use any trademarks, branding, or logos used in our Service.

You may not use any copyrighted content in our Service unless you obtain permission from the content owner and/or are otherwise permitted by law. The Terms do not grant you the right to use any branding or logos used in our Service. Our Service may display some logos, trademarks, or branding materials that is not the property of Service Administration. These types of content are the sole responsibility of the entity that makes it available.

You must not misuse our Service, including but not limited to, doing the following things:

• Using the Service for any unlawful purposes or activities;
• Uploading any content to the Service in violation of any applicable law, including but not limited to, intellectual property laws and publicity laws;
• Sending unsolicited promotions or advertisements;
• Accessing or tampering with the Service’s server systems;
• Interfering with or disrupting the access of any user, host, or network;

Service Administration, in its sole discretion, will determine abuse and/or misuse of our Service.

Also, you agree not to access the Service using a method other than the interface and instructions we provide.

Privacy Protection

SingularityApp’s Privacy Policy explains how we treat your personal data and protect your privacy when using our Service. By using our Service, you automatically agree to our privacy policy.

Singularity Cloud

You must follow any policies made available to you within the Service. You agree to use the Service only for purposes as permitted by these Terms.

In order to use the Service, you need to establish an Account. Once account is established, you are provided with a free Trial period for 14 days with access to most of the Pro features throughout the entire period. During the Trial period, you can add 3 habits, 10 projects, 5 sections in each project and an unlimited number of tasks. In addition, it is possible to import all tasks and projects from another scheduler, if necessary.

You are solely responsible for the security and confidentiality of your password. You are also responsible for all activities or actions exercised by your Account, and you should immediately notify Service Administration if you learn of any unauthorized use of your Account.

Pro-version

The Pro-version of the Service may be available as a paid subscription. The information about its features and pricing is presented on the Site in section Pricing.

Pro-version purchasing on the website

Subscription for a period

After paying for the first period of using the Pro version, the subscription is activated on the same day. The payment for the next period will be debited automatically from your account used for the first payment for a period of 72 to 24 hours prior to the expiration of the period previously paid, at a cost equal to the cost of the tariff selected at the first payment. You can choose the payment option by month or by year when subscribing on the website.

Subscribe forever

When purchasing the “Forever” tariff on the website, the activation of the Pro version takes place on the same day. Payment is made once, without repeated debits. The Pro version is activated for the account that was used when buying on the site and will be valid as long as the SingularityApp application exists and is supported.

• If at the time of purchase of the subscription “Forever” you have a valid subscription that was previously issued through the site — it will be stopped automatically and repeated charges will not be made.
• If at the time of purchase of the subscription “Forever” you have a valid subscription that was previously issued through GooglePlay or AppStore, then to stop automatic debits, you will need to cancel the previously issued subscription yourself in your personal account GooglePlay or AppStore.

Pro-version purchasing in AppStore

The payment will be made with your iTunes account after confirmation of purchase. Subscription will be renewed automatically unless auto-renew is cancelled at least 24 hours before the end of the current payment period. The payment will be charged monthly or annually depending on chosen payment period. The account will be charged for subscription renewal 24 hours before the current period ends, at a cost equal to the cost of the plan chosen at the first payment.

Pro-version purchasing in Google Play

The payment will be made with your Google Play account after confirmation of purchase. Subscription will be renewed automatically unless auto-renew is cancelled at least 24 hours before the end of the current payment period. The payment will be charged monthly or annually depending on chosen payment period. The account will be charged for subscription renewal 24 hours before the current period ends, at a cost equal to the cost of the plan chosen at the first payment.

Cancellation of a Subscription and Refund

You may cancel the renewal of subscription at any time. More information about details of cancellation can be found in our Knowledge Base. In this case the Pro-version will be active until the end of your paid billing period and the next payment will not be charged automatically. If there will be insufficient funds in your account on the day of the next charge for the subscription or the subscription will be canceled, the features of the Pro-version will be deactivated and the functions of the free version will remain available for usage in the application.

Within 30 days of paying for the Pro version on a monthly or yearly subscription, you can get a refund by contacting our technical support team. To refund when purchasing through the AppStore, you will need to contact Apple support team directly.
The "Forever" tariff is non-refundable.

Your Content in Our Service

Our service allows you to upload, download and store content, including but not limited to, information, text, graphics, videos, audios, or other material («Content»). You retain ownership of any intellectual property rights that you hold in that Content. When you upload, store, send or receive Content to or through our Service, you give Service Administration and its service partners a worldwide license to host, store, upload and download this Content and only for the purpose of providing Service strictly to you and your use of the Content.

In order to provide the Service and make your Content available, Service Administration may transmit your Content across various public networks, in various media, and modify or change your Content to comply with technical requirements of connecting networks or devices or computers. You agree that the license herein permits Service Administration to take any such actions.

You are solely responsible for securing and backing up your Content. Service Administration shall use reasonable skill and due care in providing the Service, but has no responsibility or liability for the deletion, corruption, or failure to store any Content maintained or transmitted through your use of the Service.

About Software in Our Service

The Software which you use may from time to time automatically download and install updates. You agree that updates may be delivered to you as part of your use of the Service and you shall receive and install them when due for proper operation of the application.

Service Administration gives you a personal, non-assignable, non-exclusive, limited license to use the Software provided to you by Service Administration as part of the Service. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of the software, unless local laws prohibit those restrictions or you have our written permission.

Modifying and Terminating Our Service

We are constantly modifying and improving our Service over time. We may add or remove features or functionalities, and we may temporarily suspend or discontinue the Service altogether. We may, at any time, change or impose fees for your access and use of the Service.

You can stop using the Service at any time, although we would be sorry to see you go. Service Administration may also stop providing the Service to you at any time, with or without cause, and with or without notice. For example, we may immediately suspend or terminate your use if you are not complying with these Terms, or use the Service in any way that would cause us legal liability or disrupt others’ use of the Service.

If we suspend or terminate the Service or your Account, we will try to give you reasonable advance notice and a chance to get information out of that Service. After a period of time, however, Service Administration may permanently delete the Content that is associated with your Account.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS AVAILABLE «AS IS». YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

WHEN PERMITTED BY LAW, Service Administration AND ITS SERVICE PARTNERS, LICENSORS, EMPLOYEES, AGENTS WILL NOT BE RESPONSIBLE FOR ANY LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES UNDER ANY CIRCUMSTANCES.

YOUR USE AND/OR PURCHASE OF SERVICE ARE ALL AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN «AS IS» BASIS.

Service Administration DOES NOT WARRANT THAT:

• THE SERVICE WILL MEET ALL OF YOUR REQUIREMENTS AT ALL TIMES;
• THE SERVICE WILL BE ERROR-FREE AND ALL ERRORS IN THE SERVICE WILL BE CORRECTED;
• THE SERVICE WILL BE UNINTERRUPTED.

ALL CONTENT DOWNLOADED, UPLOADED AND/OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER EQUIPMENT OR DEVICES, INCLUDING BUT NOT LIMITED TO, LAPTOP COMPUTERS, DESKTOP COMPUTER, TABLETS, SMARTPHONES AND SMARTWATCHES, OR ANY DATA LOSS RESULTING FROM DOWNLOAD OR USE OF ANY SUCH ABOVE MENTIONED MATERIAL.

Modifying and Terminating Our Service

Service Administration may add or remove functionalities or features in the normal course of improving, changing, and/or updating the Service. We may also suspend or stop our Service with at least thirty (30) days notice prior to the complete shutdown of our Service.

You can choose to stop using our Service at will. We may also stop providing Service to you, or add or create new limitations to our Service at any time as detailed in the Terms.

About these Terms

From time to time, Service Administration may modify existing terms and/or update these terms with additional terms that apply to the Service. You should check the terms regularly to keep informed. Service Administration will also post notice of modification to these Terms on this page. Changes addressing new functions for the Service or changes made for legal reasons may be effective immediately. You should discontinue your use of our Service if you do not agree with updated/modified Terms.

These Terms control the relationship between you and Service Administration, they don’t create any third party beneficiary rights.
