SingularityApp Terms of Service
Effective Date: January 22nd, 2026
1. INTRODUCTION AND ACCEPTANCE
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and SingularityApp LLP, a limited liability partnership registered in England and Wales under company number OC455413, with its registered office at Stoney Works 8 Stoney Lane, London, SE19 3BD, United Kingdom (“Company”, “we”, “us”, or “our”).
These Terms govern your access to and use of the SingularityApp service, including our websites, mobile applications, desktop applications, and any related services (collectively, the “Service”).
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy available at https://singularity-app.com/policy/. If you do not agree to these Terms, you must not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.
2. DEFINITIONS
In these Terms, the following words and expressions shall have the meanings set out below:
| Account or Profile | means a personal user account created upon registration with the Service, which stores your data and provides access to Service functionality. |
| App Marketplace | means third-party digital distribution platforms through which the Service may be accessed, including Apple App Store (for iOS and macOS), and Google Play Store. |
| Gift Card | means a prepaid voucher purchased through the Company’s website that can be activated to obtain a subscription to a paid Tariff. |
| Higher Tariff | means a Tariff with a higher subscription fee and greater functionality. |
| License | means the non-exclusive right granted to you to use the Service in accordance with these Terms. |
| Lower Tariff | means a Tariff with a lower subscription fee and reduced functionality. |
| SPC | means the internal bonus points system within the Service. SPC points are not currency, money, or any form of stored value, and have no monetary equivalent. |
| Subscription | means a recurring payment arrangement for access to a paid Tariff. |
| Tariff or Plan | means a set of Service features and functionality available to the User. Tariffs include free and paid options with varying levels of functionality. |
| Trial Period | means the 14-day period beginning from Account registration during which you may access paid features of the Service free of charge. |
| User Content | means any data, text, files, information, or other materials that you upload, submit, or store through the Service. |
3. ELIGIBILITY
To use the Service, you must be at least 13 years of age. By using the Service, you represent and warrant that you meet this age requirement.
If you are under 18 years of age (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.
You may not use the Service if you have been previously suspended or removed from the Service by us.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Registration Methods
Registration in our Service is available through the following methods:
Email Registration: Enter your email address in the corresponding field and create a password. A verification code will be sent to the specified email address. Enter this code to complete registration.
Single Sign-On (SSO): You may register using credentials from third-party authentication systems displayed in the authorization window. Follow the on-screen instructions. Registration is complete once the Service receives your email address from the respective system.
4.2 Account Information
When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
4.3 Unauthorized Access
You must immediately notify us at https://helpdesk.singularity-app.com/ if you become aware of any unauthorized use of your Account or if your Account or the authentication system account you used to register has been compromised.
4.4 Liability
We will not be liable for any loss or damage arising from unauthorized access to your Account resulting from your failure to protect your credentials.
5. LICENSE GRANT
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial purposes.
This License is granted for the duration of your Subscription period for paid Tariffs, or until terminated in accordance with these Terms for free Tariffs.
You may install and use the Service applications on devices that you own or control, in accordance with the applicable Tariff terms.
6. SERVICE DESCRIPTION
SingularityApp is a productivity application that helps users organize tasks, manage projects, track habits, and plan their time. The Service is available on multiple platforms including web, iOS, Android, macOS, Windows, and Linux.
The Service is provided “as is” and we do not guarantee that it will be available at all times. We may perform scheduled maintenance, which may temporarily affect Service availability. We will endeavor to provide advance notice of planned maintenance when possible.
Features and functionality may vary depending on the platform and Tariff. We reserve the right to modify, update, or discontinue any feature of the Service at any time.
7. TRIAL PERIOD
Upon registration of a new Account, you will automatically receive a 14-day Trial Period with access to paid features of the Service. No payment information is required to start the Trial Period.
At the end of the Trial Period, if you have not purchased a Subscription, your Account will automatically convert to a free Tariff with limited functionality. Your User Content will be preserved.
8. PRICING, PAYMENT, AND SUBSCRIPTIONS
8.1 Tariffs and Pricing
Website Pricing: All prices displayed on our website on the Plans page at https://singularity-app.com/price/ are in United States Dollars (USD). If your payment card is denominated in a different currency, your bank or card issuer will convert the charge to your card’s currency at their applicable exchange rate. We do not control and are not responsible for any currency conversion fees or exchange rates applied by your bank or card issuer.
App Marketplace Pricing: Prices for Subscriptions purchased through App Marketplaces (Apple App Store, Google Play Store) are set by us in United States Dollars but may be displayed to you in your local currency as determined by the respective App Marketplace. We do not control the currency display, exchange rates, or final pricing shown in App Marketplaces. Prices for Subscriptions purchased through App Marketplaces may differ from prices on our website due to platform fees, currency conversion, regional pricing policies, or other factors outside our control.
8.2 Payment Methods
Payments for Subscriptions may be processed through: (a) our website via Stripe payment processing; or (b) App Marketplaces (Apple App Store or Google Play Store). The payment method depends on how you access and subscribe to the Service.
8.3 Access to Paid Features
Access to paid features is granted only after we receive your payment in full.
8.4 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. For Subscriptions purchased through our website, renewal charges are processed 72 to 24 hours before the end of the current period. For Subscriptions through App Marketplaces, renewal timing is governed by the respective platform’s policies.
8.5 Price Changes
We may change Subscription prices at any time. We will notify you of price changes by email at least 5 calendar days before they take effect. Price changes for existing Subscriptions will take effect at the start of the next billing period following notice to you. If you do not agree to a price change, you may cancel your Subscription before the new price takes effect. Payments made before the price change will not be recalculated and will remain valid until the end of the paid period at the original price.
App Marketplace Price Changes: Prices for Subscriptions purchased through App Marketplaces are set and may be changed by the respective platforms (Apple, Google) and are outside our control. App Marketplaces will notify you directly of any price changes for Subscriptions purchased through their platforms.
8.6 New Features
New features added to your Tariff during your Subscription period will be available to you at no additional charge, except for SPC points which are purchased separately.
8.7 Discounts
We may offer discounts on Subscriptions, either individually or to all Users. Discounts are available only when purchasing through our website after logging into your Account.
8.8 Taxes
All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for paying any taxes associated with your use of the Service.
9. TARIFF CHANGES
9.1 Upgrading Your Tariff
To upgrade to a Higher Tariff, you must pay the full price of the new Tariff. The new Tariff takes effect immediately upon payment.
9.2 Downgrading Your Tariff
To downgrade to a Lower Tariff, you must wait until the end of your current Subscription period, then select and pay for the Lower Tariff.
9.3 Tariff Changes via App Marketplaces
For Subscriptions purchased through App Marketplaces, Tariff changes are managed through the respective platform’s subscription settings and are subject to their terms. Unused days from your current Tariff cannot be transferred to a new Tariff when changing Subscriptions through App Marketplaces.
9.4 Gift Card Activation with Existing Subscription
If you activate a Gift Card while you have an active Subscription purchased through an App Marketplace, both Tariffs will run concurrently (the Gift Card Tariff will not pause your existing Subscription).
10. CANCELLATION AND REFUNDS
10.1 Cancellation
You may cancel your Subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period.
For Subscriptions purchased through our website: You can cancel at https://me.singularity-app.com/ or by contacting support at https://helpdesk.singularity-app.com/.
For Subscriptions purchased through App Marketplaces: You must cancel through the respective platform’s subscription management settings. We cannot cancel Subscriptions made through App Marketplaces on your behalf.
10.2 Refund Policy
For Subscriptions purchased through our website, you may request a full refund within 30 days of your first payment only. Refund requests should be submitted to https://helpdesk.singularity-app.com/.
Subsequent renewal payments and Subscription upgrades are non-refundable except as required by applicable law.
If a refund is approved, the funds will be returned to the same payment card from which the Subscription was paid. We are not responsible for non-receipt of funds if you paid with a card that does not belong to you.
Cessation of use of the paid functionality by the User, including due to violation of these Terms, is not grounds for a refund. All functionality available under your Tariff will continue to work until the end of the paid period.
For purchases made through App Marketplaces, refund policies are governed by the respective platform. Please contact Apple or Google directly for refund requests related to purchases made through their platforms.
11. GIFT CARDS
11.1 Purchase and Delivery
You may purchase Gift Cards with or without Registration. To purchase a Gift Card, select the desired Gift Card at https://singularity-app.com/gift/ based on its price and the features of the selected Tariff, provide sender (“from”) and recipient email addresses, add an optional message, and complete payment in full. Upon payment, the Gift Card code will be delivered to the recipient’s email address you specified. Once a Gift Card is paid for, it cannot be exchanged for a different Gift Card.
11.2 Non-Refundable
Gift Cards are non-refundable and cannot be exchanged for cash or credit. Once a Gift Card code has been sent, we cannot replace it if it is lost, stolen, or disclosed to third parties. You are responsible for protecting the Gift Card from unauthorized access by third parties.
11.3 Activation
To activate a Gift Card, the recipient must have a registered Account and enter the Gift Card code at https://singularity-app.com/gift/activate/. Our obligation to provide access to the Service under a Gift Card is fulfilled upon its activation.
11.4 Effect of Activation
Upon activation, the Gift Card grants access to the specified Tariff for the period indicated on the Gift Card. If you already have an active Subscription, the Gift Card period will be added to your existing Subscription period. If you have no active Subscription, the Tariff will be activated immediately upon Gift Card activation.
11.5 Tariff Differences
If the Gift Card Tariff differs from your current Tariff, the Tariff with greater functionality will apply for the combined period. Detailed information about Tariff features is available on our website.
11.6 Tariff Changes After Purchase
If, at the time of Gift Card activation, the features included in the Tariff selected at purchase have changed, or if that Tariff has been discontinued, we will provide the full scope of Service features that were included in the Gift Card’s Tariff at the time of its purchase.
12. SPC BONUS POINTS
12.1 Nature of SPC
SPC is an internal bonus points system within the Service. SPC points are not currency, electronic money, stored value, or any financial instrument. SPC points have no cash value and cannot be exchanged for money, transferred to other users, or redeemed outside of the Service.
12.2 Obtaining and Using SPC
SPC points may be obtained by paying an additional fee. SPC points may be used to access certain features or benefits within the Service, as determined by us from time to time. Information about SPC usage is available in your Account in the Tariffs section.
12.3 Requirements
To use SPC points, you must have an active paid Subscription. SPC points cannot be used on free Tariffs. If you downgrade to a free Tariff, access to SPC is suspended.
12.4 Non-Refundable
SPC points are non-refundable. Our obligation to provide access to SPC functionality is fulfilled in full at the moment SPC appears in your Account interface. If your Account is deleted or terminated, all accumulated SPC points will be permanently lost and cannot be recovered or compensated.
12.5 Modification of SPC Program
We reserve the right to modify, suspend, or discontinue the SPC program at any time. You are responsible for monitoring changes to SPC terms in your Account
13. USER CONTENT
13.1 Ownership
You retain all ownership rights in your User Content. We do not claim ownership of any User Content you submit to the Service.
13.2 License to Us
By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service. For the operation of the Service and to provide access to your content, we may transmit it through various networks and devices, and adapt it to technical connection requirements.
13.3 Your Responsibilities
You are solely responsible for your User Content. You represent and warrant that you have all necessary rights to submit your User Content and that your User Content does not violate any third-party rights or applicable laws. You are also responsible for timely updating the Service applications on your devices.
13.4 Backup
You are responsible for maintaining backup copies of your User Content. While we take reasonable measures to protect your data, we are not responsible for any loss of User Content.
14. INTELLECTUAL PROPERTY
The Service and all its components, including but not limited to software, design, graphics, text, images, logos, and trademarks, are owned by or licensed to us and are protected by intellectual property laws.
Except for the limited License granted under these Terms, you may not:
(a) copy, modify, or distribute the Service or any part thereof;
(b) reverse engineer, decompile, or disassemble the Service;
(с) remove any copyright or proprietary notices from the Service;
(d) use our trademarks or branding without our prior written consent.
15. PROHIBITED CONDUCT
You agree not to:
(a) use the Service for any illegal purpose or in violation of any applicable laws;
(b) attempt to gain unauthorized access to the Service, other users’ accounts, or our systems;
(с) interfere with or disrupt the Service or servers or networks connected to the Service;
(d) upload viruses, malware, or other malicious code;
(e) use automated means to access the Service without our permission, including collecting and systematizing information using automated programs;
(f) share your Account credentials with others or allow others to access your Account;
(g) impersonate any person or entity, including the Company or other Users;
(h) use the Service to harass, abuse, or harm others;
(i) upload content that is illegal, defamatory, or infringes on third-party rights;
(j) attempt to bypass established technical limitations of the Service.
16. DISCLAIMERS
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
(a) the Service will meet your specific requirements;
(b) the Service will be uninterrupted, timely, secure, or error-free;
(с) any defects in the Service will be corrected.
You use the Service at your own risk.
17. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
We are not liable for:
(a) any actions or omissions of service providers, networks, software, or equipment providers;
(b) damage to your computer, mobile device, or any other device that occurs while using the Service;
(с) consequences caused by your providing access to your Account to third parties;
(d) errors or violations related to the operation of the Service resulting from your unlawful actions or similar actions of third parties;
(e) actions of third parties to forcibly reduce the availability of the Internet or software components of the Service;
(f) inability to use the Service due to reasons beyond our control, including restrictions imposed by government authorities.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
18. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:
(a) your use of the Service;
(b) your User Content;
(с) your violation of these Terms;
(d) your violation of any third-party rights.
19. TERMINATION
19.1 Termination by You
You may terminate your Account at any time by using the corresponding functionality in the Service or by contacting us at https://helpdesk.singularity-app.com/. Upon termination, your right to use the Service will immediately cease.
19.2 Termination by Us
If you violate these Terms or applicable law, we may send you a request to remedy the violation, as well as suspend your Account or selectively block certain Service functionality. If you remedy the violation within 5 business days of receiving our request, we will restore access to your Account or Service functionality.
We may delete your Account if you do not remedy the violation within 5 business days of receiving our request.
19.3 Effect of Termination
Upon termination, your License to use the Service will end, and we may delete your User Content. Account deletion means deletion of all data you uploaded to your Account. We recommend exporting your data before terminating your Account.
19.4 Data Deletion for Non-Payment
If your paid Subscription expires and is not renewed, your Account will convert to a free Tariff. If no payment is made for more than 3 months, we reserve the right to delete your Account and all associated data.
19.5 Suspension for Third-Party Claims
In the event of receiving claims from third parties or requests from government authorities, we may temporarily suspend your Account until the matter is resolved.
19.6 Survival
Sections regarding intellectual property, disclaimers, limitation of liability, indemnification, and general provisions shall survive termination of these Terms.
20. APP MARKETPLACE SUBSCRIPTIONS
If you purchase a Subscription through an App Marketplace (Apple App Store or Google Play Store), the following additional terms apply:
20.1 Payment Processing
All payments will be processed by the respective App Marketplace, not by us. Payment terms are governed by the App Marketplace’s terms and conditions.
20.2 Automatic Renewal
Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current subscription period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan.
20.3 Managing Subscriptions
Subscriptions can be managed and auto-renewal can be turned off in your device’s account settings after purchase. Any unused portion of a free trial period will be forfeited when you purchase a Subscription.
20.4 Refunds
For refunds of purchases made through App Marketplaces, please contact Apple or Google directly, as we do not have access to their payment systems.
20.5 Third-Party Beneficiary
Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms with respect to your use of the Service on Apple devices. Upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you.
21. GOVERNING LAW AND DISPUTES
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
22. GENERAL PROVISIONS
22.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
22.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
22.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
22.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
22.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, wars, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
